Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
At the SPX Corporation (the Company) 2016 Annual Meeting of Stockholders (the Annual Meeting) held on May 24, 2016, the Companys stockholders voted to re-approve the Company Executive Annual Bonus Plan (the Plan). The Plan is intended to optimize the tax deduction for performance-based awards to executives. The executive officers who are selected by the Compensation Committee of the Companys Board of Directors to participate in the Plan receive their annual bonus, if any, under the Plan instead of under the Companys traditional bonus program. The Plan will enable the Company to deduct certain incentive awards granted thereunder that qualify as exempt performance based compensation under Section 162(m) of the Internal Revenue Code, as amended. The Plan was described in and appended to the Companys definitive proxy statement for its Annual Meeting (the Proxy Statement) as filed with the Securities and Exchange Commission, and is incorporated herein by reference to Appendix A of the Proxy Statement. The foregoing description of the Plan is qualified in its entirety by reference to the full text of the Plan, which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
Item 5.07. Submission of Matters to a Vote of Security Holders.
