SPX Corporation (“Registrant” or the “Company”) has earlier filed a registration statement on Form S-8 (File No. 333-69252) relating to the SPX Corporation Retirement Savings and Stock Ownership Plan (the “Earlier Registration Statement”). This Post-Effective Amendment No. 1 is being filed to permit the Company to offer newly issued new shares pursuant to such plan.

We have acted as counsel to SPX Corporation, a Delaware corporation (the “Corporation”), in connection with the filing of a Post-Effective Amendment No. 1 to the Registration Statement on Form S-8 (No. 333-69252) by the Corporation under the Securities Act of 1933, as amended (the “Registration Statement”), which Registration Statement registered $120,000,000 of Common Stock, par value $10 per share (the “Common Stock”), reserved for issuance under the Corporation’s Retirement Savings and Stock Ownership Plan (the “Plan”).
